1. Introduction and Acceptance
These Terms of Service ("Terms") govern your access and use of AcquiCheck's platform and services.
By creating an account, logging in, or otherwise using AcquiCheck, you agree to be bound by these Terms. If you do not accept these Terms, you may not use our platform. We may update these Terms at any time, and your continued use constitutes acceptance of changes.

2. Service Description
AcquiCheck provides AI-powered due diligence reports for SaaS acquisitions. Our services include:
- Due Diligence Reports: Comprehensive 20-30 page reports analyzing target companies across financial health, code quality, traffic and customer acquisition, and legal risks
- Quick Score: A rapid preliminary assessment of target company fundamentals
- Ongoing Monitoring: Post-report updates on key metrics and changes (if purchased separately)

3. Account Registration
To use AcquiCheck, you must create an account. You agree to:
3.1 Accurate Information
Provide accurate, truthful information during registration. You are responsible for keeping your account information up to date.
3.2 One Account Per Person
You may not create multiple accounts or allow others to use your account. Each account is for a single individual user. Organizational accounts must be approved in writing by AcquiCheck.
3.3 Account Security
You are responsible for protecting your password and keeping it confidential. You are liable for all activity under your account. Notify us immediately if you suspect unauthorized access.
3.4 Age and Capacity
You represent that you are at least 18 years old and have the legal capacity to enter into these Terms.
4. Pricing and Payment
4.1 Currency and Pricing
All prices are in USD. Prices are displayed on the platform and are subject to change at our discretion with 30 days notice. Price changes do not apply to already-placed orders.
4.2 Payment Processing
We process payments through Stripe. By submitting a payment, you authorize us to charge your payment method. You agree to pay any applicable taxes. Payment failures will be retried automatically for up to 3 days; we will notify you of failures via email.
4.3 Refund Policy
You may request a full refund within 7 days of purchase provided the report has not yet been delivered. Refunds are issued to your original payment method within 5-10 business days. Once a report has been delivered, it is not refundable (the service has been provided). For disputes about deliverables, contact our support team.
5. Report Delivery
Reports are delivered according to the service tier purchased:
- Standard: 48 hours from report order
- Premium: 24 hours from report order
Delivery timeframes are provided as estimates only and are not guaranteed service level agreements (SLAs). Delays may occur due to technical issues, data unavailability, or high demand. We are not liable for delays or failures to meet estimated delivery times.
Reports are delivered via download link accessible from your account dashboard. We recommend downloading and saving your reports promptly.
6. Disclaimer
AcquiCheck reports are informational only. They are not:
- Legal advice or legal opinions
- Financial advice or financial recommendations
- Investment advice or investment recommendations
- Warranties about the accuracy, completeness, or reliability of the target company
Your Responsibility: You are solely responsible for conducting your own independent due diligence, verification, and analysis. You must engage qualified legal, financial, and accounting professionals to advise you on acquisition decisions. Do not rely on AcquiCheck reports as your sole source of information.
No Liability for Acquisition Decisions:AcquiCheck is not responsible or liable for your acquisition decisions, negotiation outcomes, or any consequences resulting from your use of AcquiCheck reports. You use our reports at your own risk.
7. Intellectual Property
7.1 Report Ownership
The specific data, findings, and analysis within your purchased due diligence report belong to you (the buyer). You may use and refer to the report in your acquisition decision-making.
7.2 Methodology and Platform
AcquiCheck's proprietary methodology, algorithms, AI models, and platform are owned by AcquiCheck. You have no rights to these except to use them as provided on our platform.
7.3 Third-Party Content
Our platform may contain third-party content (open-source software, icons, etc.). Use of such content is governed by their respective licenses.
8. Limitation of Liability
Maximum Liability: AcquiCheck's total liability for any claim arising out of or related to your use of our platform shall not exceed the amount you paid for the specific report or service that gave rise to the claim.
Excluded Damages: We are not liable for indirect, incidental, special, consequential, punitive, or lost profits damages, even if we have been advised of the possibility of such damages. This includes lost revenue, lost business opportunities, or reputational harm.
No Warranties: Our platform and reports are provided "as-is" without warranties of any kind. We disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.
Some jurisdictions do not allow limitations of liability, so these limitations may not apply to you.
9. Data and Confidentiality
9.1 Seller Data Confidentiality
We treat all data provided or uploaded by sellers (financial statements, code, bank data, etc.) as confidential. We do not share seller data with other users or third parties. Seller data is visible only to the buyer who purchased the report.
9.2 Report Confidentiality
Reports belong to the buyer and are not shared with sellers or other parties. You may share reports with your advisors (lawyers, accountants) under confidentiality obligations.
9.3 Your Responsibility
You are responsible for maintaining the confidentiality of uploaded data and downloaded reports. Do not upload sensitive data that you are not authorized to upload, and do not disclose reports to unauthorized parties.
10. Prohibited Uses
You agree not to use AcquiCheck for any of the following:
- Reselling Reports: Reselling, distributing, or sublicensing reports to third parties without written consent
- Automated Scraping: Using bots, scrapers, or automated tools to extract data from our platform
- Reverse Engineering: Attempting to reverse engineer, decompile, or discover our methodology or algorithms
- Unauthorized Access: Attempting to access other users' accounts or data
- Illegal Activity: Using AcquiCheck to engage in fraud, money laundering, or any illegal activity
- Disruption: Interfering with platform operations or security
Violations of these prohibitions may result in account suspension or termination.
11. Termination
11.1 Termination by You
You can close your account at any time by contacting support at hello@acquicheck.com. Upon account closure, you lose access to your reports and account data.
11.2 Termination by AcquiCheck
We may suspend or terminate your account if you:
- Violate these Terms
- Engage in fraudulent or illegal activity
- Fail to pay for services
- Abuse our platform or other users
We will provide notice when possible, but may suspend access immediately in cases of severe abuse or security threats.
11.3 Effect of Termination
Upon termination, your right to use AcquiCheck terminates immediately. You lose access to your account and any reports you have not downloaded. Sections that by their nature should survive (liability limitations, governing law, etc.) survive termination.
12. Governing Law
These Terms are governed by and construed in accordance with the laws of Belgium, specifically the laws applicable in the Brussels region. You irrevocably consent to the exclusive jurisdiction of the courts of Brussels, Belgium, for any disputes arising from these Terms.
This choice of law and jurisdiction applies to all claims, whether based on contract, tort, or any other legal theory.
